$RICK is a utility token. It is not a security, equity interest, debt instrument, or investment contract. Vanguard Creative makes no representations regarding future value, returns, or investment performance. Nothing in this document should be construed as a promise or guarantee. This is an early-stage project. Participate only with what you can afford to lose entirely.
Match the developer's $RICK holdings — publicly visible on-chain — and you get a seat at the table where development decisions are made. Hold less and you're community. Both matter.
There is a cap. If any holder exceeds the developer's position, their seat privileges pause until balance is restored. No one buys control. Not even the founder.
NDA and Non-Compete required. This is patent pending technology. Activating a developer seat requires executing the RICK Developer Agreement below. Your seat is not active until the agreement is signed and your wallet is verified.

This RICK Developer Agreement ("Agreement") is entered into as of the date of electronic signature below, between Vanguard Creative ("Company"), and the individual executing this Agreement ("Developer").
The Company has developed a proprietary AI operating system known as RICK (Reflexive Intelligent Command Kernel), including its architecture, codebase, governance model, token framework, and all related intellectual property (collectively, the "Technology"). The Technology is the subject of a pending patent application. The Developer wishes to participate in the RICK developer governance program and will have access to confidential and proprietary information.
"Confidential Information" means any and all non-public information disclosed by the Company to the Developer, including but not limited to: RICK OS architecture, source code, algorithms, and system design; token economics, governance structures, and roadmap details; business strategies, client relationships, financial data, and operational methods; and any information a reasonable person would understand to be confidential given the nature of the disclosure.
Developer agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose, publish, or disseminate any Confidential Information to any third party without prior written consent from the Company; (c) use Confidential Information solely for participation in the RICK developer governance program; (d) promptly notify the Company upon becoming aware of any unauthorized use or disclosure. These obligations survive termination of this Agreement indefinitely.
During Developer's participation and for two (2) years following termination, Developer agrees not to: (a) develop, build, fund, or participate in any AI operating system, AI executive platform, or AI Chief of Staff product that competes directly with RICK OS; (b) solicit or recruit any employee, contractor, or partner of Vanguard Creative; (c) use knowledge gained through RICK developer access to build competing technology or advise competitors. This restriction applies globally.
All intellectual property rights in the Technology remain exclusively with Vanguard Creative. Nothing in this Agreement grants Developer any ownership interest, license, or rights in the Technology beyond governance program participation. Developer acknowledges the Technology is patent pending and agrees not to file any IP claim that conflicts with or encumbers the Company's intellectual property.
Developer's seat is contingent upon: (a) maintaining token holdings equal to or greater than the developer threshold (publicly visible on-chain); (b) remaining in compliance with this Agreement. The Company reserves the right to revoke developer seat privileges at any time for material breach.
This Agreement does not create an employment relationship, partnership, joint venture, or agency between the parties.
Developer acknowledges that breach of this Agreement would cause irreparable harm to the Company for which monetary damages would be inadequate. The Company shall be entitled to seek injunctive relief and any other remedies available at law or in equity.
This Agreement shall be governed by the laws of the State of Louisiana. Any disputes shall be resolved in the courts of Caddo Parish, Louisiana.
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, representations, and agreements.
